This Merchant Services Agreement (“Agreement”) is entered into between Sai Sradha Tradelink Pvt Ltd. (“Platform”) and the entity or individual registering as a seller (“Merchant”). By clicking “I Accept” or listing products on the Platform, Merchant agrees to be bound by these terms.
1. Scope of Service
Platform provides a digital marketplace and infrastructure to facilitate the sale of Merchant’s products (“Goods”) to end-users (“Customers”). Platform handles the storefront hosting, payment processing integration, and basic customer interface, while Merchant is responsible for inventory, quality, and fulfillment.
2. Merchant Obligations & Conduct
Merchant represents and warrants that:
- Identity Verification: All “Know Your Business” (KYB) documentation provided is accurate.
- Product Authenticity: Merchant shall not list counterfeit, stolen, or prohibited items.
- Compliance: Merchant will comply with all applicable trade, tax, and consumer protection laws.
- Customer Support: Merchant must respond to Customer inquiries within 24 business hours.
3. Fees and Payments
3.1 Fee Structure
Merchant agrees to pay the following fees; which Platform will deduct from gross sales:
- Transaction Fee: 5% per successful order.
- Subscription Fee: 1000/- per month (if applicable).
- Processing Fee: Standard credit card/gateways fees of 2% + Tax.
3.2 Payout Schedule
Funds from sales (minus Fees) will be held in a “Pending” status for 7 days to account for potential returns. Payouts will be initiated to Merchant’s linked bank account on a Weelkly basis.
4. Intellectual Property
- Merchant Content: Merchant grants Platform a non-exclusive, royalty-free, worldwide license to use, host, and display Merchant’s logos, product images, and descriptions for the purpose of operating and marketing the Platform.
- Platform Rights: All software, algorithms, and data generated by the Platform remain the sole property of the Platform.
5. Fulfillment and Returns
- Shipping: Merchant must ship orders within 2 days of purchase. Failure to provide valid tracking numbers may result in payment holds.
- Returns: Merchant must maintain a return policy that is at least as favorable as the Platform’s “Standard Return Policy”.
6. Data Privacy and Security
- Customer Data: Merchant is a “Data Processor” regarding Customer info. Merchant may only use Customer data for fulfillment and is strictly prohibited from marketing to Customers off-platform unless the Customer opts in specifically to the Merchant.
- Security: Merchant must notify Platform within 12 hours of any data breach involving Merchant’s account.
7. Indemnification & Liability
7.1 Indemnification
Merchant shall indemnify and hold harmless Platform from any claims, damages, or legal fees arising from:
- Product defects or injury caused by Goods.
- Intellectual property infringement by Merchant content.
- Merchant’s failure to pay applicable sales taxes.
7.2 Limitation of Liability
To the maximum extent permitted by law, Platform’s total liability shall not exceed the total fees paid by Merchant to Platform during the six (6) months preceding the claim.
8. Termination
- By Merchant: Merchant may terminate this Agreement at any time by closing their account, subject to fulfilling all outstanding orders.
- By Platform: Platform may suspend or terminate Merchant access with 30 days’ notice. In cases of fraud or illegal activity, Platform reserves the right to terminate access immediately and freeze funds for up to 180 days.
9. Governing Law & Arbitration
This Agreement is governed by the laws of India. Any disputes shall be resolved through binding arbitration in Kolkata, rather than in court.
Execution
By completing the registration process, Merchant acknowledges they have read, understood, and agreed to this Merchant Services Agreement.
